The Department of Company Affairs is a very important Department of the Government of India. I find that a Review on this important Department has not been written so far. The Department of Company Affairs, located at Shastri Bhavan, New Delhi, deals with the Companies in India, which has got private limited Companies and public limited Companies. The National Aluminium Company (NALCO) is a public limited Company. Indian Air Lines and AIR INDIA are public limited Companies. Like these, there many public limited Companies, on whom the Government of India exercises necessary administrative and financial control. The private limited Companies are of different sizes. Some are big and some are small. Each one makes a profit for its share holders. Each Company is headed by a Chairman and Managing Director, called CMD.
Both the public limited Companies and the private limited Companies have their respective Company Secretaries, who see that everything is in order. Each Company has on its staff a Public Relations Officer, who is now called Corporate Communication Officer. It is he or she who brings out a House Journal for the Company. Some of the House Journals are excellent, like SWAGAT, the house journal of Indian Airlines. Every Company gives gifts like Diaries, Calendars and other novelties to its internal and external publics. Every Company, by its statute, calls for its Annual General Meeting.
There are many foreign Companies operating in India. The Department of Company Affairs has an eye on them. The Ministry of Finance also sees to it that out of the profits they make, a certain percentage remains in India.
A Company has to be registered in India, with its Memorandum of Association and Bye-Laws. When a Company is in bad debts, it is liquidated as per rules.
The Institution of Company Secretaries is a professional institution, whose members are the Company Secretaries. They get professional training through the institution. Company Secretaryship is a growing profession in India.
This is all about the Companies, big and small, public and private, cared for by the Department of Company Affairs.
